56 www.finance-monthly.com TRANSACTION REPORTS OSF Commerce Acquires Blueleaf Legal Adviser to Blueleaf: Financial Advisers to OSF Commerce: Strategy Due Diligence: OSF Commerce, an OSF Global brand, announced the acquisition of award-winning UK eCommerce agency Blueleaf - whose clients include Laura Ashley, Life Style Sports, Tate Modern and V&A Museum – as part of its strategy to build a significant presence in the UK. Founded in 1999, with offices in the UK and Bulgaria, Blueleaf provides top retailers and brandswith planning, UX, development and support for complex projects built on Salesforce Commerce Cloud, one of the world’s leading eCommerce solutions. Since 2014, Blueleaf has been working with growth and M&A advisory firm, Waypoint Partners, which has advised the company on how to scale its business and prepare itself for major investment. Following the acquisition, Blueleaf will become OSF Commerce UK, giving the Canadian company an established delivery centre in the UK to help grow its client base in the market. Blueleaf’s existing retail clients will now have access to OSF Commerce’s global network of 32 locations, as well as its extensive suite of multi-cloud, B2B and B2C commerce solutions. The owners of Blue Leaf Communications Limited were advised by a team from Keystone Law led by Mark Harden. EuroHold Bulgaria to Acquire CEZ Group’s Assets in Bulgaria Legal Advisers to EuroHold Bulgaria: Skills s.r.o. Legal Advisers to CEZ Bulgaria: Bulgarian holding company EuroHold has signed a deal to acquire the Bulgarian assets of Czech utility CEZ for €335 million ($377.9 million). Morrison & Foerster in London is representing EuroHold, led on the corporate side by Partner Gary Brown and Associate Carlo Pia, and led on the finance side by Partner Christopher Kandel and Counsel John Burge. Stoeva, Tchompalov & Znepolski (STZ), led by Partners Iordan Tchompalov and Irina Stoeva, and Senior Associate Miroslava Iordanova, is advising EuroHold on Bulgarian legal matters. CEZ is represented by Czech firm Skils s.r.o, with a team led by Partners Karel Dřevínek and Vladimír Kykal, and Associate Tomáš Bayer. Penkov, Markov & Partners, led by Partner Ivan Markov, is advising CEZ on Bulgarian legal matters. In addition to conducting legal due diligence of the target companies and advising, from Bulgarian perspective, on the share purchase agreement, STZ advises EuroHold on all necessary corporate and regulatory approvals and the mandatory tender offer requirements in relation to the transaction, as well as on certain matters related to the overall structure and financing of the acquisition. EuroHold’s acquisition of CEZ Group’s assets in Bulgaria is expected to be finalised after obtaining regulatory approvals.
