Transaction Reports About the Deal Martinez Berlanga Abogados acted as Mexican legal counsel for the transaction representing Lumenpulse Lighting Corp and LMPG, Inc. in the acquisition of ARCHITECTURAL LW HOLDINGS, LLC, including its Mexican subsidiary. The transaction contemplated the acquisition of all of the interest in ARCHITECTURAL LW HOLDINGS, LLC and its subsidiaries in the USA and Mexico by LMPG, Inc. and Lumenpulse Lighting Corp through a merger transaction. US counsel for the buyer was represented by Davis Malm, under the lead of Amy L Fracassini and Sam A Mawn-Mahlau, who played a very important role in the drafting and negotiation of the definitive agreements. From the buyer’s side, the inside team was led by Peter Timotheatos as CFO, backed by Petya Velikova and Yanitza Navia, described by Martinez Berlanga as “a very well-versed and expert inside team”. The sale, which closed on 15 February for an unknown amount, forms part of a broader expansion strategy by LPMG, adding a total of eight brands of street and urban lighting solutions to its portfolio. LPMG has described its strategy as aiming for “deeper market penetration”, as the acquired companies will operate as independent commercial entities under a broader brand umbrella. Partner Luis Lavalle led the Martínez Berlanga team on the transaction, supported by associates Rodrigo Reyes and Ricardo Altamirano.
